Partnership Model

• Partners operate independent businesses under license from ZHM.

• Partners are responsible for all local operations, staffing, rent, and inventory costs.

• ZHM provides brand standards, operational guidelines, and central support.

Fee Structure
Partners agree to pay:

• A monthly base fee of $10 per location.

• A performance fee of $100 for every $1,000 in location revenue.

• A 10% revenue share on all gross sales.

• All fees are calculated monthly and payable by the 10th of the following month.

Partner Responsibilities

• Maintain brand standards and quality controls

• Submit accurate monthly sales reports

• Comply with all local, state, and federal laws

• Carry appropriate business insurance

 Purchases

• All sales are final unless otherwise stated by the individual Market location.

• Prices may vary by location and are set by the local Partner.

• Products are subject to availability.

Product Authenticity

• ZHM and its Partners strive to provide authentic, quality products.

• However, we cannot guarantee specific regional variations or outcomes from product use.

• The "Zemen Habesha Market" name, logo, and brand assets are trademarks owned by ZHM.

• Partners are granted limited license to use these marks during their partnership.

• All website content, designs, and materials are protected by copyright.

• ZHM is not liable for any losses, damages, or injuries occurring at Partner locations.

• Partners operate as independent businesses and are solely responsible for their locations.

• To the maximum extent permitted by law, ZHM's total liability shall not exceed $100.

By Partner
Partners may terminate their agreement with 30 days written notice.

By ZHM
ZHM may terminate a partnership for:

• Non-payment of fees for 60+ days

• Material breach of brand standards

• Illegal or unethical business practices

• Failure to submit required reports

• Any disputes shall first attempt resolution through mediation.

• If mediation fails, disputes shall be settled through binding arbitration in [Your State].

• Each party bears their own legal costs.
